Mr. Hackett is a transactional attorney concentrating in the area of corporate, and general business law. His expertise extends to a wide range of business law matters including, formation of business entities, development of business planning and growth strategies as well as documenting and closing financing and equity deals. He's also well experienced in negotiating and drafting commercial contracts, conducting business mergers and acquisitions, and provides outside general counsel services including the handling corporate governance matters.
Mr. Hackett represents a whole host of clients, including accredited investors, startups, growth stage companies and small and medium size business owners.
He specializes in analyzing, drafting, preparing, and negotiating transactional term sheets, letters of intent, purchase agreements, operating agreements, leases, bonus and profit-sharing plans, buy-sell and shareholder agreements, employment agreements and confidentiality/non-disclosure agreements.
Mr. Hackett has extensive experience preparing private placement offering documents for equity issuances and syndications including private placement memoranda (PPMs), subscription agreements as well as advising issuers in their compliance with federal and state "blue sky" securities laws with a particular focus on real estate investment transactions.
Working on numerous projects for highly regarded national restaurant chains, he also provides legal support for franchisors, retailers, advertisers, advisors, distributors, real estate developers, medical professionals, and hotel developers. He has represented many organizations in corporate, transactional, e-commerce and data security matters, and has supported individuals and entrepreneurs in connection with their employment law and business matters.
His transactional practice also includes commercial real estate leasing law, acquisitions and sales, development, and financing.
Experience
Prior to joining LiprestiLaw, P.C., Mr. Hackett practiced locally at several large and mid-sized law firms headquartered in Boston, Pittsburgh and Providence and counseled clients in a wide variety of industries including manufacturing, real estate, retail, high technology, education and hospitality.
Mr. Hackett has written a number of articles for legal and hospitality journals, including the Privacy & Data Security Law Journal and Bottomline Magazine - the Journal of Hospitality Financial and Technology Professionals.
