Nicholas Lipresti is a transactional attorney based near Boston, concentrating his practice in corporate, business, commercial lending, and finance law. His practice focuses on structuring, negotiating, and closing joint ventures, as well as mergers and acquisitions (both buyers and sellers).
Mr. Lipresti is also known for his expertise in asset dispositions, securities issuances and other capital raises, recapitalizations, restructurings, buyouts and takeouts as well as various types of business and real estate financings (ranging from venture and private equity to asset- and property-backed bank financings).

He regularly counsels financial institutions and borrowers in the drafting and negotiation of loan documentation including loan agreements, notes, mortgages/deeds, security pledges, guarantees, and subordination agreements.
Providing outside general counsel, Mr. Lipresti works with closely held businesses from startups to established companies, as well as non-profit organizations and entities in workout situations. He supports clients with organizational and entity planning, strategic advice, resolution of conflicts among owners, executive employment matters and ongoing corporate counseling.

Prior to joining the firm, Mr. Lipresti worked at a regional law firm based out of Providence, RI with the business & corporate, banking & finance and the private equity, venture capital & securities practice groups. Before coming to New England, Mr. Lipresti practiced in the firm's Washington, D.C. area office as a corporate attorney serving clients in a wide variety of industries including medical, high technology and defense contracting.
